To the maximum extent permitted by law, Cifu Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
You agree to indemnify and hold harmless Cifu Network and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of our services or violation of these Terms.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of our services.
Payment terms for our services will be specified in individual service agreements. All fees are exclusive of applicable taxes unless otherwise stated. Late payments may be subject to interest charges.
Either party may terminate services upon written notice if the other party breaches any material term of these Terms and fails to cure such breach within 30 days of receiving notice. Cifu Network may also terminate or suspend access to services immediately for any violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Shanghai, China.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms constitute the entire agreement between you and Cifu Network regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
